Rebuild your entity history and file taxes after selling a business

OpenClawUser story

A solo founder who sold most of his business used OpenClaw instead of his usual CPA. Over two days it reconstructed his entity history and cost basis from old returns, built a P&L from raw bank data and guided him field by field through tax software.

What they did

On day one he gave OpenClaw the purchase agreement, LLC amendments, old K-1s, returns back to 2012 and bank statements, and asked it to read them in order. It traced the company through several entity conversions, followed his cost basis and wrote a summary of numbers, forms and open questions. On day two, in a four-hour session, he clicked through tax software while OpenClaw told him what to enter, and it prepared his side LLC's P&L from bank transactions.

What happened

The poster says it caught a date error by his former accountant, found a cheaper tax software tier than the one being pushed, and an income method it suggested lowered his underpayment penalty. He only had to recategorize one bank transaction, and the whole job took about six hours at a small fraction of last year's CPA fee.

Keep in mind

Letting it drive the tax software itself was too slow, so he clicked while it guided. The software double-counted part of the sale gain and needed a workaround, and one K-1 was estimated, so an amended return is likely.

Try it with your agent

Read every document in <your tax documents folder> in date order, including past returns, operating agreements and the sale agreement. Write a summary of how my business entity changed over time, my cost basis at each step, the forms I need this year, and open questions. Then build a P&L for <your side business> from <bank statement files>, listing any transaction you are unsure how to categorize.

Replace the <angle brackets> with your own details.
